ABBA VOYAGE MEMBERS – TERMS OF USE

These terms of membership apply to your membership of our loyalty program, ‘ABBA Voyage Members’ which you can access through this website. They set out how membership of ABBA Voyage Members works and describe any rights and responsibilities associated with membership. These terms of membership apply when you sign up to the ABBA Voyage Members website.

ABOUT THE WEBSITE

These terms of membership describe the terms and conditions applicable to your use of our ABBA Voyage Members loyalty program (the “Loyalty Program”) which is available under the domain and sub-domains of www.abbavoyage.com (the “Website”) as it is owned and operated by Aniara Ltd (“Aniara”, we”, “us" or “our”) and apply to your viewing of the Website and your membership to the Loyalty Program.

These terms of membership apply to your membership of the Loyalty Program and the viewing and use of our Website and form a legal agreement between you and Aniara. If there is ever a conflict between these terms of membership and the Aniara Terms of Use (as set out above), these terms of membership will take priority.

We may at any time amend, modify or supplement these terms of membership from time to time and will post any amended terms of membership on the Website. Your continued use and participation in the Loyalty Program will constitute your acceptance of any such changes.

JOINING THE MEMBERSHIP PROGRAM

By applying to register as a member of the Loyalty Program you are confirming that you understand and accept these terms of membership and that you agree to be bound by them.

Eligibility. Membership in the Loyalty Program is free and is available to any individual:

who is aged 18 or above;

where it is lawful for that individual to do so; and

who has not previously been terminated from the Loyalty Program.

The Website and the Loyalty Program are made available free of charge, but we may charge a fee in future. We will not charge you unless you have explicitly agreed to be charged.

REGISTRATION, ACCOUNT AND PASSWORD

To register as a member for the Loyalty Program, you will need to submit personal information and choose an account name (“Username”), a password (“Password”) and a valid email address for your Loyalty Program account ("Account").

The Username and Password will be allocated to you on successful application for registration as a member of the Loyalty Program. Only we can decide whether applications will be successful. You will need your Username and Password to access some parts of the Website. Your Username and Password are personal to you and must not be disclosed to any other person.

You must ensure that all information about you that is held by us is true, complete, not misleading and up to date. You can amend your registration details within your Account at any time through the Website.

You are solely responsible and liable for any use of the Website under your Account or any other use of your Username and Password.

You may only hold one Account.

Do not share your Username or Password with any other person or allow any other person to use your Account. We are not liable for any improper use of your Username, Password or Account or any use of your Username, Password or Account by any other person. If you think any other person knows your Password, or that your Account has been used by any other person, please inform us immediately.

MEMBERSHIP BENEFITS

As a member of the Loyalty Program, you may be entitled to certain benefits as are listed on our Website from time to time, which for example, may include certain discounts on some of our Retailers (as defined in section 4.14 below) within the Arena. The applicable discounts will be set out on our Website and will be subject to these terms of membership and any additional terms as may be set out on our Website from time to time which are hereby incorporated into these terms.

The benefits you may receive will be dependent on certain criteria applicable to you. Some benefits may be available for all members, however some benefits may depend on other factors, including (without limitation) how many times you have visited one of the ABBA Voyage shows (“Show”) and how many tickets you have purchased for the Shows.

We may offer competitions from time to time through the Website. All members will be eligible to enter these competitions provided that you have an Account.

We reserve the right to change any benefits at any time.

VISIT COUNTS

As part of your membership, you can earn “visit counts" based on how many times you have visited one of our performances. To add a visit, please email hubsupport@abbavoyage.com , ensuring you include the following details in the email:

- Email address the booking was made under

- Any booking reference or order number associated with the booking

- Date and time of the performance you booked for

- The email address your Member's Hub account is registered to

Visit counts may be obtained when you book tickets for our performances through one or more of our authorised ticketing sites listed below (which are subject to change at any time).

Visit counts cannot be:

Obtained for ticket purchases that have been made via phone, box office, unauthorised ticketing systems, brokers, re-sellers, discounting channels or any other unauthorised third parties;

Earned or obtained on any tickets that are complimentary (free), where the tickets have been discounted by us and/or any of our authorised ticketing sites and/or where you have won the tickets as part of any of our competitions;

And moved from your Account to another website.

Visit counts can only be transferred to another Account when where both parties agree to the transfer of Visit counts.

Visit counts have no monetary value and do not constitute property.

Members must remain active in the Members Program to retain the Credits you accumulate.

Vouchers

As part of your membership, you may also be eligible to receive vouchers on various food and drink products from retailers (“Retailers”) available at the ABBA Voyage Arena (“Arena”) applicable to the Show you are attending (“Voucher”).

Please note that in order to receive the Voucher, there may be certain eligibility criteria that you must meet and so not all Vouchers will be available for all members.

Vouchers will only be given to members who book within the necessary time period and visit dates as specified in the email offering you the Voucher.

In addition to the above, in relation to the Vouchers, the following will be displayed to you in your Account, the email you receive from us and/or will be set out on our Website from time to time:

the description of the eligibility criteria required to redeem a Voucher;

the monetary value of the Voucher;

any restrictions of the Voucher (for example, where you may or may not be able to use the Voucher, or any time limits)

Vouchers may be added, removed or changed from time to time at our discretion.

Vouchers are not valid for use at the Oceanbird Lounge.

Vouchers cannot be transferred to any third party.

Vouchers are a one-time use offer and cannot be redeemed multiple times. The Voucher is not intended to have a cash or monetary value and cannot under any circumstances form the basis of a monetary claim.

Complimentary Admission

Members may also be eligible to receive a certain number of complimentary admission or a members discount to the Oceanbird Lounge.

Credits, Vouchers and Complimentary Admission may only be redeemed via proof of membership to the Loyalty Program in the form of a member’s QR code which must be presented in the Show venue in order to be redeemed. The above membership benefits are not guarantees and Aniara reserves the right to change or withdraw such benefits at any time.

RESTRICTIONS AND OBLIGATIONS

You agree to comply with these terms of membership and all rules applicable to the Loyalty Program and the use of the Website.

You agree not to:

impersonate any other person or entity;

falsely describe or otherwise misrepresent yourself (including your age and personal circumstances);

falsely describe your affiliation with another person or entity;

use or attempt to use another’s Account;

solicit personal information (including passwords and banking information) from another person; and

unfairly exploit any offering, including with respect to any Retailer, under these terms of membership.

COMMUNICATIONS

The Website enables the display of third party content (“User Content”).

Although we are not obliged to do so, we may remove or reject any User Content.

You agree that we may process and store any content you submit to the Website ("Your Content”).

You may send Your Content to other members of the Website, and other members of the Website may send User Content to you.

You agree to the distribution of Your Content by us both internally and externally. Therefore, you should ensure that Your Content does not contain information which you intend to keep confidential or private.

By making available, posting or transmitting Your Content to the Website, you are granting us a non-exclusive, transferrable, sublicensable, royalty-free, irrevocable, perpetual worldwide licence to use and exploit Your Content for any purpose.

You agree that you are entitled to make available, post or transmit Your Content to the Website.

You will not make available, post or transmit to the Website any statement, material or other content, nor use the Website in any way, that:

is unlawful or may give rise to civil or criminal liability;

infringes any copyright or other intellectual property right of any third party;

infringes any third party's rights of privacy or rights of publicity;

includes any computer virus or other malicious software;

is abusive, pornographic, defamatory, discriminatory or obscene;

harasses any other person;

interferes with another user's use and enjoyment of the Website;

impersonates any moderator, administrator or any staff or any other person connected with GetPaidTo;

contains the confidential information of any other person;

solicits passwords or personal information;

contains video, photographs, or images of any other person without his or her permission (or in the case of a minor, the minor's legal guardian);

exploits any other person;

we consider inappropriate; or

encourage or provokes any other person to do any of the acts listed above.

If you discover any material which you believe contravenes these terms of membership, please inform us.

We will communicate with you at the email address you have provided. Notices that are applicable to all our customers shall be made available on the Website. You will be deemed to have received a notice at the time the email is sent or the time the notice is posted on the Website.

All emails we send are intended for the addressee only.

THE RELATIONSHIP BETWEEN ANIARA, YOU AND RETAILERS

We are not a party to any transactions you may enter with Retailers (whether or not by redemption of Credits or Vouchers or where you are granted complimentary admission).

We have no control over and are not responsible for:

the quality, safety or legality or any products or services sold by Retailers; or

any failure of any Retailer to pass good title to any products or services.

LIABILITY

We provide and maintain the Website (which includes the Loyalty Program) on an “as is” and “as available” basis and we are liable only:

to provide our services with reasonable skill and care; and

to award Credits which should have been added or replace Credits which should not have been deducted.

We give no other warranty in connection with the Website and/or the Loyalty Program and to the maximum extent permitted by law, we exclude liability for:

any loss or damage of any kind howsoever arising, including any direct, indirect, special, punitive or consequential loss whether or not that loss arises out of something of which we have been made aware;

the accuracy, currency or validity of information and material contained within the Website (including any User Content);

any interruptions to the Website;

any incorrect or inaccurate information on the Website and/or regarding the Loyalty Program;

the infringement by any other person of any copyright or other intellectual property rights of any third party through any use of the Website or any User Content;

the availability, quality, content or nature of external sites that may be available through our Website (if any);

any amount or kind of loss or damage due to viruses or other malicious software that may infect a user's computer equipment, software, data or other property caused by any other person accessing, using or downloading the Website or any User Content; and

all representations, warranties, conditions and other terms and conditions which but for this notice would have effect.

We do not warrant that the operation of the Website (including access to the Loyalty Program) will be uninterrupted or error free.

We will not be liable in any amount for failure to perform any obligation under these terms of use if that failure is caused by the occurrence of an event beyond our reasonable control.

Except as provided above there are no other warranties, conditions or other terms and conditions, express or implied, statutory or otherwise, and all of those terms and conditions are hereby excluded to the maximum extent permitted by law.

You agree not to use the Website in any way which:

is unlawful;

may give rise to civil or criminal liability for Aniara; or

may bring Aniara or any of its Retailers into disrepute.

You hereby agree to indemnify, defend and hold us and our officers, directors, owners, agents, information providers, affiliates, licensors and licensees (collectively, the "Indemnified Parties") harmless from and against any and all liability and costs (including reasonable legal fees) incurred by the Indemnified Parties in connection with any claim arising out of:

any breach by you of these terms of membership;

claims arising from your use of the Website, the Loyalty Program, any benefits arising from the Loyalty Program and any use of your Account (whether or not such use was by you).

You shall cooperate with us in the defence of any claim. We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you.

BREACH, SUSPENSION AND TERMINATION

Without limiting any other rights we may have, we may suspend or terminate access to your Account or the Website if you breach any of these terms of membership.

We will deduct any Credits or Vouchers which were added to your Account in error or which we believe have been received in breach of these terms of membership. This includes any Credits or Vouchers received by a holder of multiple Accounts.

If you are subject to repeated or significant deductions of Credits or Vouchers, we will consider your Account to be operated fraudulently. Any Credits or Vouchers which are attributed to:

fraud; and/or

a suspended Account;

will be forfeited to us without compensation to you.

We will try to give you reasonable notice of any anticipated termination of the Website, to give you an opportunity to redeem accrued Credits or Vouchers. It is possible that we may be required to terminate the Website without notice to you, for example in the case of technical problems, in which case all Credits or Vouchers held to your Account will expire without any compensation being due to you.

GENERAL

These terms of membership are subject to your statutory and common law consumer rights and will not limit any rights you might have that cannot be excluded under applicable law. These terms of membership will not exclude or limit our liability for death or personal injury resulting from our negligence nor any fraudulent acts or representations.

Some features and services of the Website may be subject to additional terms. We will draw these terms to your attention before you use those features or services. Those additional terms will be incorporated into these terms of membership when you indicate your agreement to those additional terms.

We may deduct any monies you owe us from any monies we owe you.

These terms of membership, together with the Terms of Use and Privacy Policy, constitute the entire agreement between you and Aniara relating to your use and membership of the Website, to the exclusion of any other terms.

Our failure to enforce any term does not constitute our waiver of that term.

If any part of these terms of membership is found to be unenforceable, it will be amended to the minimum extent necessary to make it enforceable and the remainder of the provisions will remain in full force and effect.

The Website is intended for and directed at the United Kingdom. No representation or warranty is made as to whether the Website complies with the laws of any other country.

These terms of membership are subject to the laws of England and Wales and the parties submit to the exclusive jurisdiction of the English courts.

Aniara will be entitled to assign and otherwise transfer the agreement covered by these terms of membership by giving you reasonable notice, which may include notice given via the Website.

All questions, comments or enquiries should be directed to us and we will use reasonable endeavours to respond to you as soon as reasonably practicable.
